SMW Welding Disclaimers

These conditions form an integral part of every contract or agreement for the sale and/or supply of goods and/or services ('the products') by SOUTH MIDS. WELDING SUPPLIES LTD (SMW). Unless specific alterations or deletions agreed in writing on behalf of SMW, these conditions shall apply in their entirety to all quotations made and all orders accepted on behalf of SMW.Except as provided above, no servant or agent of SMW has any authority to vary these terms or accept other terms proposed by a Customer which are inconsistent with these conditions unless confirmed in writing.

• Unless otherwise agreed in writing the company's terms of trade are that Accounts shall be settled nett thirty days.

• Whole sale or pro-former goods will be termed CASH or  PAY PAL payments

• Unless otherwise specifically stated the purchase price is deemed to exclude Value Added Tax and thiswill be added where necessary. All prices quoted are liable to VAT standard rate.

• Interest may be payable at the rate of 2% per month on all overdue debts.

• SMW reserve the right to suspend or terminate supply and lower credit limit in default of payments by Customer.

• Credit card payments -Due to the credit card company transaction charges all payments made by credit card will be subject to a 3% transaction fee.

• Standard 2.2 test certificates are issued free of charge (on request) with customer orders. Copies will be provided free of charge within 3 months of order date subject to proof of purchase. Thereafter a charge of £25.00 per certificate will apply.

• Orders below £75.00 generally will be subject to a small order handling charge of £12.50 per order (whole-sale) in special circumstances we will adjust this amount with prior arrangements being made.

• All our transactions are subject to South Mids Welding Supplies Ltd conditions of sale, shown on our disclaimer page.

• All the charges are subject to VAT charged at the standard rate at the date of despatch. Direct sale to non UK countries or Scottish high lands delivery is P.O.A. only

• Whole sale delivery charges Mainland UK only Standard 2-3 day delivery £8.00 up to 20kg, then after £0.25 kg on orders below £250.00 net Order value above £250.00 net carriage paid.

• Next working day £11.50 up to 20kg then after £0.25 kg Pallet delivery £65.00 up to 500kgthen after £0.15 kg

• Next working day before12 noon £22.00up to 20kg then after £0.55 kg

• Next working day before 10.30 am £27.50 up to 20kg then after £0.70 kg

• Saturday before 12 noon £35.00 up to 20kg then after £0.55kg

• Saturday before 10.30 am £41.50 kg the after £0.70 kg Please note! Saturday deliveries can only be offered with prior arrangements being made with our delivery contractors.

• Delivery to the:- Scottish highlands and Scottish Islands Channel Islands and Isle of Man Northern Ireland

• Standard 2-3 working days £25.00 up to 20kg then after £0.60 kg

• Northern Ireland For order value up to £1000 price on application Orders above £1000 carriage paid All the above charges are subject to VAT charged at the standard rate at date of despatch.

• SMW will not accept the return of goods for any reason unless prior agreement has been made.

• Collection will be made only with a valid collection note.

• Goods returned because they are not required will incur a 25% handling charge.

• It is a condition of the contract that the property in all the products delivered by SMW to the Customer shall remain vested in SMW until SMW has received in cash or cleared funds payment in full for the products delivered and all products agreed to be sold by SMW to the Customer for which payment is then due.

• Until payment due under all contracts between the Customer and SMW has been made in full the Customer shall hold the products upon trust for SMW.

• Until such a time as the property in the products passes to the Customer, the Customer shall hold the products as the company's fiduciary agent and bailer and shall keep the products separate from those of the Customer and third parties and properly stored, protected and insured and identified as SMW s property.

• Notwithstanding that theproperty in all products to be delivered to the Customer by SMW shall remain vested in SMW until SMW has received payment in full, the risk of damage to or loss of all or any such products shall pass to the Customer forthwith upon delivery or deemed delivery thereof to the Customer and as from such date of delivery or deemed delivery the Customer shall be liable to pay SMW the contract price for such products whether or not the same are damaged or lost prior to this date that the property therein shall pass to the Customer.

• Until such a time as legal title in the goods passes to the Purchaser SMW may at any time require the Purchaser, its liquidator, (administrative) receiver or administrator to return the goods and/or may repossess the goods by entering upon any premises of the Purchaser or any third party where the goods are reasonably believed to be stored.

• Save as is specifically set out herein SMW shall have no liability (however arising) in relation to any loss suffered by the Customer or any third party arising from the supply of the products (however caused).

• If loss, damage or deterioration (other than for death or personal injury) is caused by SMW negligence, SMW's liability shall be limited to the invoice value of the goods.

• Employees of SMW are notauthorised to make oral representations as to the quality or fitness for any particular purpose of any products. If a representation is made or an opinion expressed orally which materially affects the Customer's decision to place an order for any products the Customer should ensure that such details are confirmed in writing by a duly authorised officer or employee of SMW so as to form a part of the contract, no liability can otherwise be accepted.

• SMW shall not be liable to the Customer or be deemed to be in breach of contract by reason of any delay in performing or any failure to perform, and of SMW's obligations in relation to the products, if the delay or failure was due to any cause beyond SMW's reasonable control.

• The rights of SMW shall not be prejudiced by any indulgence or forbearance extended by SMW to the Customer and no waiver by SMW in respect of any breach shall operate as a waiver in respect of any subsequent breach.

These conditions shall be governed by, and construed in all respect in accordance with English Law.
